These Official Rules are governed by the laws of the State of California, without regard to its conflict of law provisions.
Informal resolution first. In the event of any dispute arising out of this promotion, you and the Sponsor will first contact one another and make a good faith effort to resolve it within thirty (30) days before pursuing formal resolution.
Arbitration. Any dispute not resolved informally will be resolved by final and binding arbitration administered by JAMS under its Comprehensive Arbitration Rules, conducted in the English language. Arbitration will take place on an individual basis. Class arbitrations and class actions are not permitted. Payment of filing, administration and arbitrator costs is governed by the JAMS Rules, except where those costs would be prohibitively expensive, in which case the Sponsor will pay the necessary amount.
Exceptions. The following will be resolved in a court of proper jurisdiction rather than in arbitration: disputes within the jurisdiction of a small claims court, disputes in which the sole relief sought is injunctive relief, and intellectual property disputes.
Class action waiver. Any proceeding to resolve a dispute will be brought only in your individual capacity and not as part of any class, consolidated or representative action. You and the Sponsor each waive the right to participate as a plaintiff or class member in any class action.
Venue. Any dispute not subject to arbitration will be resolved in the state and federal courts located in Santa Clara County, California.
These provisions mirror the arbitration and class action waiver in the
Unvault Terms of Service, which continue to apply to your use of the Services. Where these Official Rules and those Terms conflict on a matter specific to this promotion, these Official Rules govern.
