Official Rules

Two (2) potential winners will be selected in a random drawing from among all eligible entries received during the applicable entry period. The drawing will be conducted on the last Friday of each calendar month by the Sponsor or its designated representative, whose decisions are final and binding in all matters relating to this promotion.

Odds of winning depend on the number of eligible entries received during the entry period.

Each winner receives a cash prize equal to the amount the Sponsor paid that winner for the sell order corresponding to the winning entry, up to a maximum of $10,000 per winner. Where a winner holds more than one entry, the prize corresponds to the specific entry drawn.

Approximate retail value: variable, equal to the payout for the corresponding sell order, not to exceed $10,000. Maximum total value of all prizes in any entry period: $20,000.

The prize is paid in addition to, and does not replace, the original payout for the sale. No substitution, assignment or transfer of a prize is permitted except by the Sponsor, which reserves the right to substitute a prize of equal or greater value.

Potential winners will be notified at the email address associated with their Unvault account within two (2) business days of the drawing. If a potential winner cannot be contacted within five (5) days of the first notification attempt, is found to be ineligible, or fails to comply with these Official Rules, the prize may be forfeited and an alternate winner selected at random from the remaining eligible entries.

Prizes are paid by the same method the winner received their original payout, which may be bank transfer using the payout details on file, PayPal, or check on request. Payment is issued within one (1) business day of winner confirmation, subject to processing times outside the Sponsor’s control.

All federal, state and local taxes on a prize are the sole responsibility of the winner.

Except where prohibited, acceptance of a prize constitutes agreement that the Sponsor may publish the winner’s first name, last initial, city and state, and a general description of the item sold, in connection with this promotion and without further compensation. No separate signed release is required. The Sponsor does not publish payout amounts or prize amounts.

A winner who prefers not to be identified publicly may notify the Sponsor at any time before publication and will receive the prize on identical terms.

By entering, entrants agree to be bound by these Official Rules and by the decisions of the Sponsor. The Sponsor reserves the right to disqualify any entrant it believes has tampered with the entry process, acted in violation of these Official Rules, or acted in a manner intended to disrupt the promotion.

The Sponsor is not responsible for entries that are lost, late, misdirected, incomplete or not recorded due to technical failure, human error, or any cause outside its reasonable control.

The Sponsor reserves the right to cancel, suspend or modify the promotion or any entry period if fraud, technical failure, or any other factor beyond its reasonable control impairs the integrity of the promotion.

Nothing in this promotion obligates any person to sell any item. Items a seller declines to sell are returned free of charge in the ordinary course.

By entering, you agree to release and hold harmless the Sponsor and its parent, subsidiaries, affiliates, officers, directors, employees and agents (the “Released Parties”) from any claim, injury, loss or damage arising out of participation in this promotion or the acceptance, receipt or use of any prize.

To the extent not prohibited by law, the Released Parties will not be liable for any indirect, special, exemplary, incidental, consequential or punitive damages arising out of or related to this promotion. The Released Parties’ total liability in connection with this promotion shall not exceed the value of the prize at issue.

The Released Parties are not responsible for entries that are lost, late, misdirected, incomplete or not recorded, or for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft, destruction or unauthorized access to, or alteration of, entries.

You agree to defend, indemnify and hold the Released Parties harmless from and against any claims, costs, damages, losses, liabilities and expenses arising out of your participation in this promotion, your violation of these Official Rules or applicable law, or your violation of the rights of any third party.

These Official Rules are governed by the laws of the State of California, without regard to its conflict of law provisions.

Informal resolution first. In the event of any dispute arising out of this promotion, you and the Sponsor will first contact one another and make a good faith effort to resolve it within thirty (30) days before pursuing formal resolution.

Arbitration. Any dispute not resolved informally will be resolved by final and binding arbitration administered by JAMS under its Comprehensive Arbitration Rules, conducted in the English language. Arbitration will take place on an individual basis. Class arbitrations and class actions are not permitted. Payment of filing, administration and arbitrator costs is governed by the JAMS Rules, except where those costs would be prohibitively expensive, in which case the Sponsor will pay the necessary amount.

Exceptions. The following will be resolved in a court of proper jurisdiction rather than in arbitration: disputes within the jurisdiction of a small claims court, disputes in which the sole relief sought is injunctive relief, and intellectual property disputes.

Class action waiver. Any proceeding to resolve a dispute will be brought only in your individual capacity and not as part of any class, consolidated or representative action. You and the Sponsor each waive the right to participate as a plaintiff or class member in any class action.

Venue. Any dispute not subject to arbitration will be resolved in the state and federal courts located in Santa Clara County, California.

These provisions mirror the arbitration and class action waiver in the Unvault Terms of Service, which continue to apply to your use of the Services. Where these Official Rules and those Terms conflict on a matter specific to this promotion, these Official Rules govern.

The winners of each entry period are published at unvault.co/golden-ticket. A written request for a winners list may be sent to Unvault Inc., 1825 S Grant St., Suite 200, San Mateo, CA 94402 within sixty (60) days of the end of the applicable entry period.
